Who we are and what these terms cover

These terms are between you and Lumina ERP, LLC ("Lumina", "we", "us"), a Texas company based in Houston. They cover lumina-erp.com and its pages, forms, newsletter, booking page, sample desk demo and client intake portal (together, the "site").

By using the site you agree to these terms and to our Privacy Policy. If you use the site for an organization, you agree for that organization. If you do not agree, please do not use the site.

Information, not advice

Our pages, field notes, guides and demos are general information about ERP systems and how we work. They are not professional, legal, tax or accounting advice for your business. They may not fit your version, configuration or data. Test anything you take from the site in a non-production environment before relying on it.

No client relationship until we sign

Sending a form, booking a call, subscribing or talking with our team does not make you a client and does not create any obligation for either of us. A client relationship begins only when both parties sign a written agreement or statement of work. That agreement governs the work, including scope, fees, confidentiality, data handling and ownership of deliverables. It controls if it conflicts with these terms.

Do not send us confidential information through the site before we have agreed how it will be protected.

Sample desk demo

The sample desk is a fictional wholesaler with invented data on an original interface. It is not connected to any live system. Its answers are generated by an AI model and can be wrong. Do not type personal or confidential information into it, and do not rely on its answers for decisions.

Client intake portal

If we send you a portal link, it is for you and your organization only. Keep it private, upload only information you are entitled to share and tell us if you think the link has been exposed so we can replace it.

Acceptable use

When you use the site, do not:

• Break the law or infringe anyone else's rights.
• Try to gain unauthorized access to the site, our systems or other people's information.
• Interfere with the site, test its security without our written permission or get around its bot checks and rate limits.
• Send spam, malicious code or false information through our forms.
• Scrape the site in bulk in a way that degrades it for others.
• Use the sample desk to produce unlawful, harmful or misleading content.

Our content and trademarks

The site and its text, code, graphics, field notes and design belong to Lumina or its licensors. You may read, share links to and quote short passages with attribution. Anything more needs our written permission.

Lumina, Lumina ERP and our logos are our trademarks. Do not use them in a way that suggests we endorse or work with you without our written permission.

Epicor, Prophet 21, P21 and DynaChange are trademarks or registered trademarks of Epicor Software Corporation registered in the United States and other countries. Kinetic is a trademark of Epicor Software Corporation. Lumina ERP is an independent consultancy and is not affiliated with, sponsored by or endorsed by Epicor.

Other product and company names on the site are the trademarks of their owners and are used only to identify those products. Their use does not imply any affiliation or endorsement.

Third-party links and services

The site links to and embeds services run by others, such as Cal.com for booking and LinkedIn for form pre-fill. We do not control them and are not responsible for their content or practices. Their own terms and privacy policies apply when you use them.

Disclaimers

The site is provided "as is" and "as available". To the fullest extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not promise that the site will be uninterrupted or error-free or that its content is complete or current.

Limitation of liability

To the fullest extent the law allows, Lumina is not liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data, arising from your use of the site. Our total liability for any claim about the site is limited to one hundred U.S. dollars. These limits do not apply to liability that cannot be limited by law, and they do not change the terms of any signed client agreement.

Indemnity

If you misuse the site or break these terms and a claim is brought against us as a result, you agree to cover the reasonable costs and losses that follow, including legal fees.

Governing law and venue

These terms are governed by the laws of the State of Texas, without regard to its conflict of law rules. Any dispute about the site or these terms will be brought only in the state or federal courts located in Harris County, Texas, and both parties consent to their jurisdiction. Before filing, we each agree to try to resolve the dispute by talking first.

Changes to these terms

We may update these terms. When we do, we change the date at the top of this page. Changes apply from that date and do not reach back to earlier use. If you keep using the site after a change, the updated terms apply.
